ImageRights International, Inc. (“ImageRights,” “Company,” “we,” “us,” or “our”) respects your privacy and is committed to protecting it through this Privacy Policy (“Policy”). This Policy describes how we collect, use, disclose, and safeguard personal information in connection with our website at https://www.nilsignal.ai/ (the “Site”), the NILsignal platform, the NILsentry compliance monitoring service, and any related mobile applications, APIs, dashboards, or other technologies we provide (collectively, the “Services”).

This Policy is separate from our Terms of Service. By accessing the Site or using the Services, you consent to the collection, use, and disclosure of your information as described in this Policy. If you do not agree, please do not access or use the Site or Services.

We may update this Policy from time to time without prior notice. Any changes will be posted on the Site and become effective upon posting. Your continued use of the Services following such changes constitutes your acceptance of the revised Policy. We encourage you to review this Policy periodically.

  1. Information We Collect:

We provide comprehensive technology solutions to educational institutions and governing bodies overseeing Name, Image, and Likeness (“NIL”) compliance in amateur athletics. Our Services support the broader ecosystem with compliance monitoring, transaction tracking, disclosure management, and regulatory reporting for institutions, conferences, athletes, collectives, and other authorized users.

We facilitate the listing, browsing, booking, and disclosure of endorsement activities, promoting transparency, efficiency, and regulatory compliance across our ecosystem. We enable colleges, universities, and conferences (“Institutional Users”) to use our Services to track the endorsement activities of prospective, current, and former college athletes (“Athletes”) for compliance, monitoring, and reporting purposes. Additionally, our Services provide publicly available background information regarding athletes to institutional users, sponsors, multimedia rights partners, and agents (collectively, “Subscriber”) seeking to recruit, engage, or endorse such athletes.

Through our Services, we collect some or all of the following information:

  • An individual’s name, postal address, email address, telephone number, username, password, password hints, and any other information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, to a particular individual (“Personal Information”);

  • Publicly available information about an athlete, including name, institution, sport, position, jersey number, class year, and social media handles (“Directory Information”);

  • User-generated content, including comments, photographs, audio, videos, and other content publicly broadcasted by an athlete (“User Content”);

  • Payment information, such as AMEX, Visa, PayPal or other third-party payment or banking information, such as electronic wire, ACH, Zelle, and Venmo (where required for the purpose of payment);

  • Your opt-in choices and communication preferences;

  • Information to verify an account; 

  • Information (including email addresses) in correspondence you send to us, including when you report a problem with our Services; and

  • “Non-Personal Information” such as search queries conducted through the Services, device type, browser type, operating system, browsing and search history, interactions with features of the Services, responses to advertisements, and clickstream data. We also collect aggregated usage data, including pages visited, number of visits, average time spent on the Site, and other similar analytics information.

  • We may collect information about the types of Services you use, home city, communications preferences, and other inferences drawn from your activity to improve and customize our Services.

Personal Information collected through the Services shall specifically exclude any educational or student records as defined within the Family Educational Rights and Privacy Act ("FERPA"), including but not limited to grades, transcripts, class lists, course schedules, student financial information, and student discipline files. We will not collect such records at any time for any purpose unless we have obtained the required consent or the disclosure falls within a recognized FERPA exception. Where our Services are used by educational institutions, we adhere to FERPA requirements as applicable.

  1. How Information is Collected

We may collect Personal Information when Subscribers create an account on the Site, use the Services, or otherwise provide information to us. Personal Information may also be provided by a user’s associate for the purpose of inviting that user to the Platform. If submitted by an associate, we retain such information only until the invited user creates an account or declines the invitation.

We may also collect information from publicly available sources, including athletic department websites, institutional directories, NCAA and conference records and databases, social media platforms, NIL marketplace listings and public deal announcements, state NIL registries and disclosure databases, news outlets and other publicly available media, and third-party service providers, as further described in this Policy.

  1. How We Use Your Information:

Except as otherwise described in this Privacy Policy, we collect and use your Personal Information and Non-Personal Information for our internal business purposes only. We do not sell your Personal Information. We may use the Personal Information we collect for the following business and commercial purposes:

  • Operate Our Business and Provide Services

To provide the Services you request, maintain user accounts, process billing and payments, administer the platform, and support our day-to-day business operations.

  • Communicate With You

To communicate with you regarding the Services, your account, customer support inquiries, and to send updates, notices, newsletters, or other communications based on your subscriptions, alerts, and communication preferences.

  • Evaluate and Improve Our Services

To perform analytics, quality assurance, troubleshooting, training, product development, and to better understand user needs so we can improve the Services and user experience.

  • Marketing and Advertising

To send promotional communications regarding products, services, programs, or events that may interest you, and to improve the effectiveness of our marketing efforts. We do not share your Personal Information with third parties who wish to advertise to you. Promotional messages you receive will be from us and/or merchants through the Service.

  • Legal, Security, and Compliance Purposes

To protect the security and integrity of the Services, prevent fraud or misuse, enforce our agreements, and comply with applicable laws, regulations, court orders, or lawful requests.

If we intend to use your information for any materially different purpose, we will request your consent when required by law and will use such information only for the purposes for which consent was granted, unless otherwise permitted or required by applicable law

  1. How We Share Your Information:

We will not share your Personal Information with any third party except as described in this Privacy Policy or in the following circumstances:

  • Service Providers, Contractors, and Agents

We may share Personal Information with third parties that perform services on our behalf, such as payment processing, cloud hosting, analytics, customer support, communications delivery, security monitoring, and other operational services. These parties may access Personal Information only as necessary to perform services for us and must use it solely in accordance with our instructions.

  • With Your Consent or at Your Direction

We may share Personal Information with third parties when you request it, authorize it, or otherwise consent to such disclosure.

  • With Institutional Users

If you are an Athlete or participant whose NIL activity is monitored through the Services, relevant compliance data and monitoring alerts may be shared with the subscribing institution that has authorized the use of the Services.

  • Legal Compliance and Protection

We may disclose Personal Information when we believe disclosure is necessary to: (i) comply with applicable law, regulation, legal process, or governmental request; (ii) enforce our agreements, including this Privacy Policy and our Terms of Service; (iii) investigate or prevent fraud, security issues, or technical problems; or (iv) protect the rights, property, or safety of the Company, our Subscribers, or others.

We require third parties receiving Personal Information from us to use it only for the purposes for which it was disclosed and to retain it only as long as necessary to fulfill those purposes, unless otherwise required by law.

Third-Party Services

To operate and enhance the Services, we may use the following third-party vendors, subprocessors, platforms, and integrations (“Third Parties”). Use of certain Third-Party services may be subject to those parties’ own privacy policies and terms.

We are not responsible for the independent privacy or data practices of Third Parties. Subscribers should review the privacy policies of any Third-Party services they access or connect through our Services.

Subscribers who disable or opt out of certain Third-Party tools or integrations may experience reduced functionality or limited access to certain features of the Services.

We may update the Third Parties we use from time to time and will revise this Privacy Policy as required by applicable law.

Amazon Web Services (AWS) – cloud infrastructure provider used for scalable data storage, relational database management, and application computing resources.

Heroku by Salesforce – cloud platform for hosting application infrastructure, managing databases, and monitoring system performance and stability.

Hetzner – cloud and dedicated server infrastructure used for hosting web applications, data processing, and network management.

Stripe - software for processing credit card payments.

Social Information

To provide the Services, we may share publicly available social information (“Social Information”) about Athletes with Subscribers. Social Information may include, without limitation, social media handles, publicly visible activity and engagement metrics on third-party platforms, and other publicly available data and statistics that assist Subscribers in evaluating, recruiting, or monitoring Athletes. Social Information does not include activity from private or restricted accounts, and we do not access such accounts.

We may analyze and share such Social Information to assess the performance of social media content, evaluate potential endorsement effectiveness, and support compliance monitoring. All Social Information is limited to content voluntarily made public by Athletes through their social media or other public platforms.

Our collection and use of Social Information is conducted in furtherance of our legitimate business interests and in a manner that does not infringe upon the privacy rights of the Athlete.

  1. Communications from NILSignal

On occasion we may contact Subscribers by email, SMS/text message, push notification, social media direct message, or other available channels for purposes including account administration, service updates, transactional notifications, customer support, security alerts, and marketing communications.

Subscribers may disable push notifications through their device settings. Subscribers may opt out of marketing emails or text messages through their account settings, by using the unsubscribe link included in marketing messages, or by sending an email to contact@nilsignal.ai.

Every Subscriber is required to maintain a valid email address and, where applicable, a valid mobile phone number in their account to receive important service-related communications. If a User opts out of SMS messages, service-related notices may be sent to the email address on file instead. Subscribers can update contact preferences in their account settings.

5.1 Service Communications

We may send you service-related communications that are necessary for the operation of the Services, including account notifications, compliance alerts, security notices, transaction confirmations, product updates, updates regarding features or functionality, and responses from customer support. You cannot opt out of these service communications while you maintain an active account.

5.2 Marketing Communications

With your consent or as otherwise permitted by law, we may send you marketing communications about new features, products, events, or offers. You may opt out at any time by:

  • Following the "unsubscribe" link in any marketing email

  • Adjusting your communication preferences in your account settings

  • Contacting us at contact@nilsignal.ai

Please note that even if you opt out of marketing communications, we will continue to send you service-related communications as described above.

  1. Retention Of Your Information:

We collect, use, and retain Personal Information only for the purposes for which it was collected and in accordance with this Privacy Policy. We periodically review our data collection, storage, and processing practices to ensure that we collect only the Personal Information reasonably necessary to provide, maintain, and improve the Services. We take reasonable steps to help ensure that the Personal Information we process is accurate, complete, and current, but Subscribers are responsible for updating or correcting their information when necessary.

We retain Personal Information for no longer than two (2) years after a user terminates an account, or for such longer period as reasonably necessary to fulfill the purposes described in this Privacy Policy. We may retain certain information for longer periods where required or permitted by applicable law, including for tax, accounting, reporting, dispute resolution, enforcement of our agreements, fraud prevention, or protection of legal rights. De-identified, anonymized, or aggregated information that does not identify an individual may be retained indefinitely. Upon a verified and lawful request, we will delete Personal Information as required by applicable law.

We take appropriate security measures to protect Personal Information against unauthorized access, alteration, disclosure, or destruction. These measures may include secure servers, access controls, encryption where appropriate, monitoring systems, internal security reviews, and policies governing data handling practices.

Access to Personal Information is limited to our employees, contractors, service providers, and agents who have a legitimate business need to access such information in order to operate, develop, maintain, or improve the Services. Such persons are subject to confidentiality and security obligations and may be subject to disciplinary action, termination, or legal consequences for unauthorized use or disclosure.

However, no method of transmission over the Internet or method of electronic storage is completely secure. Accordingly, while we strive to use commercially reasonable measures to protect Personal Information, we cannot guarantee absolute security. IN NO EVENT WILL WE OR OUR SUBSIDIARIES, AFFILIATES OR ANY PARTY INVOLVED IN CREATING, PRODUCING OR DELIVERING SERVICES BE LIABLE IN ANY MANNER WHATSOEVER FOR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF UNAUTHORIZED ACCESS TO THE PERSONAL INFORMATION COLLECTED BY US IN THE PROVISION OF THE SERVICES.

  1. Your Rights:

7.1 Review or Correct Your Information

Depending on applicable law, you may have the right to access, review, correct, update, delete, or obtain a copy of your Personal Information; restrict or object to certain processing of your Personal Information; request portability of your Personal Information to another entity; withdraw consent previously provided; and lodge a complaint with a regulatory or governmental authority. You may also have additional rights available under applicable privacy laws.

Please note that if you do not provide certain Personal Information required for the Services, or if you withdraw consent where processing is necessary to provide the Services, you may be unable to access or use some or all features of the Services.

7.2 Unsubscribe or Opt-Out of Certain Communications

We may contact you by email, telephone, or text message regarding important account information, billing matters, service updates, and promotional opportunities. You may opt out of receiving marketing communications at any time by following the instructions included in the communication, including clicking the unsubscribe link in an email or replying STOP to a text message. You may also contact us to update your communication preferences.

Please note that you may continue to receive non-promotional communications that are necessary for account administration, billing, security, legal notices, or the operation of the Services, and you may not opt out of such service-related communications.

7.3 California Residents Only

If you are a California resident, you may have additional rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (collectively, the “CCPA”). The CCPA requires businesses to provide California residents with disclosures regarding their practices relating to the collection, use, disclosure, sharing, and retention of Personal Information, as well as a description of their privacy rights.

The CCPA defines "Personal Information” to mean information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular California consumer or household. Personal Information does not include publicly available information, deidentified information, or aggregated information, as those terms are defined by applicable law.

Internet, network, and other activity information such as your search terms; views and interactions with content and ads; Chrome browsing history you’ve synced with your user account; information about the interaction of your apps, browsers, and devices with our services (like IP address, crash reports, and system activity); and activity on third-party sites and apps that use our services. You can review and control activity data stored in your user account. Maintaining our services: We use information to ensure our services are working as intended, such as tracking outages or troubleshooting bugs and other issues that you report to us. Service providers, trusted businesses or persons that process information on our behalf, based on our instructions and in compliance with our Privacy Policy and any other appropriate confidentiality and security measures.
Geolocation data, such as may be determined by GPS, IP address, and other data from sensors on or around your device, depending in part on your device and account settings. Research and development: We may use information to improve our services and to develop new products, features and technologies that benefit our subscribers and the public. Domain administrators, if you work or study at an organization that uses our services.
Other information you create or provide, such as the content you create, upload, or receive (like photos and videos or emails). Use of service providers: We share information with service providers to perform services on our behalf, in compliance with our Privacy Policy and other appropriate confidentiality and security measures. For example, we may rely on service providers to help provide customer support. Law enforcement or other third parties for the legal reasons, such as court ordered subpoenas.
Legal reasons: We also use information to satisfy applicable laws or regulations, and discloses information in response to legal process or enforceable government requests, including to law enforcement.

California “Shine the Light” Rights

California Civil Code § 1798.83 (the “Shine the Light” law) permits certain California residents to request information regarding a business’s disclosure of personal information to third parties for their direct marketing purposes. We do not disclose customers’ Personal Information to third parties for their own direct marketing purposes without appropriate rights and controls. Verification of Requests

To protect your privacy and security, we may need to verify your identity before processing requests to access, delete, or disclose Personal Information. Verification may require confirming information associated with your account or responding to a confirmation email. We may request additional information as reasonably necessary to verify your request.

California Rights to Know and Access

If you are a California resident, subject to applicable law, you may request information regarding our collection and use of your Personal Information during the preceding twelve (12) months, including:

  • The categories of Personal Information we collected about you;

  • The categories of sources from which the Personal Information was collected;

  • The business or commercial purposes for collecting, using, or disclosing the Personal Information;

  • The categories of third parties to whom we disclosed Personal Information; and

  • The specific pieces of Personal Information we collected about you.

You may also have the right to request a portable copy of certain Personal Information we maintain about you.

California Right to Deletion

Subject to applicable exceptions, California residents may request deletion of their Personal Information that we have collected or maintain. Please note that logging out of the Services, deleting the mobile application, or closing your browser does not automatically delete your account or associated Personal Information.

Non-Discrimination

For all privacy rights requests, please clearly state that your request relates to “Your California Privacy Rights,” specify the type of request you are making, and provide your name, mailing address, city, state, zip code, and a valid email address or telephone number where you may be contacted.

We may be unable to process requests that are improperly submitted, mislabeled, or that do not contain sufficient information to verify your identity or understand the nature of your request.

Verification of Requests

Before responding to a privacy rights request, we must verify your identity using information associated with your account or information previously provided to us. If we cannot verify your request, we may request additional information. If, after a good-faith effort, we are unable to verify your identity or authority to make the request, we may deny the request and will explain the basis for the denial as required by applicable law.

Designating an Authorized Agent

You may designate another person or entity to submit requests and act on your behalf (an “Authorized Agent”), where permitted by law. To do so, we may require written authorization signed by you, proof of the agent’s authority, and/or separate identity verification from you.

Do Not Track Requests

We use cookies to collect information about your internet activity to help us provide you with relevant advertisements, incentives or offers. Some web browsers or smartphones have the ability to set “Do Not Track” requests to block user activity from being tracked across web pages or devices. Our website does not recognize “Do Not Track” signals.

Third-Party Marketing and Selling

The CCPA requires notice and an opportunity to opt-out from certain disclosures of Personal Information considered to be a “sale” as defined in the CCPA. We may collect your unique online identifiers, internet and network activity, device identifier, Internet Protocol address, browsing history, search history, and information about how you interact with our website or mobile application. We may disclose this information with third party companies, social or analytics partners that support our online efforts, and help us improve the use of our website and services.

Our website is not intended for use by children under the age of 13 and we do not knowingly collect or disclose information from children under 13 years old. We also do not intend to disclose Personal Information to third parties without providing you notice and an opportunity to opt-out.

You or your Authorized Agent may request to opt-out of certain disclosures of your Personal Information by submitting a request to contact@nilsignal.ai.

No Discrimination

We will not unlawfully discriminate or retaliate against you for exercising any privacy rights available under applicable law.

7.4 For International NILS Subscribers

For Canadian Residents

If you are a resident of Canada, we collect, use, and disclose Personal Information with your consent, except where otherwise permitted or required by applicable law. Consent may be express or implied depending on the nature of the information and the circumstances.

You may withdraw consent to our use or disclosure of your Personal Information for marketing purposes at any time by contacting us at support@nilsignal.ai. Withdrawal of consent does not affect processing already undertaken or processing otherwise permitted by law.

You may also request access to, correction of, or deletion of your Personal Information, subject to applicable legal exceptions, by contacting us. We will respond within the time required by applicable Canadian privacy laws.

For Citizens of the EU

If you are located in the European Union, United Kingdom, or Switzerland, you may have rights under the General Data Protection Regulation (“GDPR”) that entered into effect on May 25, 2018, and all data privacy regulations that preceded it to the extent that they were not preempted by the GDPR, the UK GDPR, or other applicable privacy laws.   1. Information Regarding Children:

Our Site and Services are intended for individuals who are 13 years of age or older. We do not knowingly collect Personal Information from children under the age of 13 without appropriate authorization or as otherwise permitted by applicable law. If we become aware that we have collected Personal Information from a child under 13 in violation of this Policy or applicable law, we will take reasonable steps to delete such information.
